1. Acceptance of Terms
By accessing or using AMIDS Scribe ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. The Service is provided by AMIDS USA ("Company", "we", "us", or "our").
2. Description of Service
AMIDS Scribe is an AI-powered compliance document generation tool that helps organizations create NIST 800-53 compliant documentation including policies, procedures, System Security Plans (SSP), evidence checklists, and assessment checklists.
The Service uses artificial intelligence to generate compliance documentation based on user inputs. Generated content is provided as a starting point and should be reviewed by qualified professionals before use.
3. User Accounts
3.1. To use the Service, you must create an account and provide accurate, current, and complete information.
3.2. You are responsible for safeguarding your account credentials and for all activities that occur under your account.
3.3. You must notify us immediately of any unauthorized use of your account.
4. Subscription and Payment
4.1. Access to the Service may require payment of fees as described in our pricing page.
4.2. All fees are non-refundable except as expressly stated in these Terms or required by law.
4.3. We reserve the right to modify pricing with 30 days' notice to existing subscribers.
5. License Types
Single Document License: Grants the right to use one generated document for a single organization.
Control Family License: Grants the right to use all documents within a specific NIST 800-53 control family.
Enterprise License: Grants unlimited document generation for a single organization.
6. AI-Generated Content Disclaimer
Important: Content generated by AMIDS Scribe is created using artificial intelligence and is provided for informational and drafting purposes only. All generated documents should be:
- Reviewed by qualified compliance professionals
- Customized to your organization's specific requirements
- Verified against current NIST guidelines and your organization's policies
- Approved by appropriate stakeholders before implementation
We do not guarantee that generated content will meet specific regulatory requirements or pass any particular audit or assessment.
7. Acceptable Use
7.1. You are responsible for the accuracy of information you provide through questionnaires and inputs.
7.2. You agree not to use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
7.3. You agree not to attempt to circumvent usage limits, access controls, or payment requirements.
7.4. You agree not to reverse engineer, decompile, or attempt to extract the source code or AI models underlying the Service.
7.5. You agree not to use automated scripts or bots to access the Service without our prior written consent.
8. Intellectual Property
8.1. Our IP. The Service, including its design, features, AI models, and underlying technology, is owned by AMIDS USA and protected by intellectual property laws.
8.2. Your Content. You retain ownership of information you provide to the Service. You grant us a limited license to use this information solely to provide the Service.
8.3. Generated Content. Subject to your compliance with these Terms and payment of applicable fees, you are granted ownership of Generated Content for use as permitted under your license type.
8.4. NIST Materials. NIST 800-53 and related materials are public domain works of the U.S. Government. Our Service incorporates these materials but does not claim exclusive rights to them.
9. Limitation of Liability
9.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMIDS USA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
9.2. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9.3. WE ARE NOT LIABLE FOR ANY FAILURE TO PASS AN AUDIT, ASSESSMENT, OR COMPLIANCE REVIEW, REGARDLESS OF WHETHER GENERATED CONTENT WAS USED.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
11. Indemnification
You agree to indemnify, defend, and hold harmless AMIDS USA and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
12. Termination
12.1. You may terminate your account at any time by contacting us or using account settings.
12.2. We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our sole discretion.
12.3. Upon termination, your right to use the Service ceases immediately, but provisions that by their nature should survive (including limitations of liability and indemnification) will remain in effect.
13. Changes to Terms
We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website or by email. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Virginia.
